Terms of Use — Persons & Son Inc.

1. Acceptance of Terms

By accessing or using the Persons and Son, Inc. RFP Intelligence Platform ("Platform"), you agree to be bound by these Terms of Use. If you do not agree, you must immediately discontinue use. Access is granted solely to authorized employees and representatives of Persons and Son, Inc.

2. AI-Generated Content — Critical Disclaimer

THIS SECTION IS CRITICALLY IMPORTANT. READ IT IN FULL.

The Platform uses artificial intelligence ("AI"), including large language models, to assist in the drafting, analysis, and preparation of bid proposals and RFP responses. AI-generated content is inherently unreliable and may contain material errors, omissions, inaccuracies, hallucinations, fabricated facts, incorrect figures, outdated information, or content that is legally non-compliant.

You expressly acknowledge and agree to the following:

All AI-generated content is a draft only. No output from the Platform should be submitted, relied upon, or acted upon without thorough human review and verification by a qualified individual.
You are solely responsible for reviewing all bid content. Construction bids and RFP responses are legally and financially binding documents. Errors in bids — including incorrect quantities, prices, scope descriptions, compliance statements, or missing forms — can result in disqualification, contract disputes, financial loss, legal liability, and reputational harm.
The AI does not know your current bonding capacity, insurance status, workforce availability, equipment inventory, or financial position. Any content referencing these matters must be independently verified before use.
The AI may misinterpret RFP requirements. Evaluation criteria, submission requirements, mandatory forms, deadlines, and compliance thresholds must be verified directly against the original solicitation documents issued by the owner.
Pricing estimates are illustrative only. Any cost figures, labor rates, material prices, or total bid values generated by the Platform are preliminary estimates and do not constitute a formal bid price. All pricing must be independently calculated and verified.
The Platform does not replace professional judgment. Nothing in the Platform constitutes legal, financial, engineering, or professional advice. You must engage qualified professionals as appropriate for each bid.
Persons and Son, Inc. assumes no liability for bid outcomes. By using this Platform to prepare any bid or proposal, you assume all risk associated with the accuracy, completeness, and compliance of the submitted documents.

3. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PERSONS AND SON, INC., ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND TECHNOLOGY PROVIDERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO:

Errors, omissions, or inaccuracies in AI-generated bid content;
Bid disqualification resulting from non-compliant or incomplete submissions;
Financial losses resulting from incorrect pricing, scope, or cost estimates;
Contract disputes arising from submitted proposals;
Any reliance on Platform content without independent verification;
System downtime, data loss, or technical failures.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF PERSONS AND SON, INC. EXCEED THE AMOUNT PAID, IF ANY, FOR ACCESS TO THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

4. User Responsibilities

You agree to:

Use the Platform only for lawful purposes in connection with legitimate business activities of Persons and Son, Inc.;
Maintain the confidentiality of your login credentials and not share access with unauthorized individuals;
Review all AI-generated content for accuracy before use in any external submission;
Immediately report any suspected unauthorized access or security breach to your administrator;
Not attempt to reverse-engineer, scrape, or misuse the Platform or its underlying systems.

5. Confidentiality

All content within the Platform, including bid data, RFP documents, company profiles, pricing information, and AI-generated drafts, is confidential and proprietary to Persons and Son, Inc. You may not disclose, copy, or distribute Platform content to third parties without express written authorization.

6. Intellectual Property

The Platform, its design, and its underlying technology are the property of Persons and Son, Inc. AI-generated content produced through the Platform is provided for internal business use only. Persons and Son, Inc. makes no warranty of originality or non-infringement with respect to AI-generated text.

7. Termination

Access to the Platform may be terminated at any time, with or without cause, at the discretion of Persons and Son, Inc. administration. Upon termination, you must immediately cease use of the Platform and all access credentials.

8. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Butler County, Missouri.

9. Changes to Terms

Persons and Son, Inc. reserves the right to modify these Terms at any time. Continued use of the Platform following notice of changes constitutes acceptance of the updated Terms.
